So you'd have several spare Windows 7 Pro keys lying around gathering dust?

When you renew or subscribe to Microsoft Action Pack, you will gain access to 10 internal-use licences for Windows 7 Professional and one internal-use licence for Windows 7 Ultimate. We expect Windows 7 Professional and Windows 7 Ultimate to be available, in digital format, via digital distribution in late August. Active Action Pack subscribers will also receive a physical shipment of Windows 7 once available.
Unfortunately I'm also subject to a Microsoft software audit from time to time, so they can't be used outside my business.

The XP mode is a special version of virtual PC, It will run XP or earlier apps, It doesn't support 3D graphics (emulates S3 Trio 64)
I'm current running a W7 vpc on my xp system and a vista vpc on the w7 vpc :D isn't virtualisation great :D
you can create a vpc of any OS (I've even got Dos6.22 and Wfw3.11 with IE5 16bit) so as long as you've an install disk and a license key you can run XP on W7 premium, you just can't the run free one from MS. oh and you must have virtualisation enabled to use the MS one.
